Company can request information on its board members’ criminal record

Companies have the right to request information from National Criminal Record (KRK) on whether a person being a member of company’s authorities (or a candidate for such member), is listed in the registry. Amended provisions on KRK, which entered into force on 30 June 2013, provide that where it is legally required that members of entity’s authorities or its shareholders have a clear criminal record, such entities have the right to inquire about these persons and receive information from KRK. This applies in particular to companies and a requirement set forth in Article 18 § 2 of Commercial Companies Code, applicable to members of management board, supervisory board, auditors’ committee or liquidators.
